Welcome to Toiletvertising, a creative advertising service operated by Lord Penh ("we," "us," or "our"). By using our services, whether as an advertiser or venue partner, you agree to these Terms & Conditions.

1. Service Overview

1.1 What We Offer

Toiletvertising provides advertising space in bathroom facilities throughout Phnom Penh, Cambodia. We install A4 frames above urinals and inside toilet cubicles, and manage the placement and rotation of advertiser posters.

1.2 Our Network

• Posters rotate weekly through our network of partner venues
• Each frame displays one poster at a time
• We maintain quality standards for all venues in our network
• We reserve the right to add or remove venues from our network at our discretion

2. Advertiser Terms

2.1 Pricing & Payment

• Monthly subscription fees are charged per frame as outlined on our website
• Payment is due in advance on a monthly basis
• Design services (when requested) are charged separately at $35 per poster design
• We accept payment via bank transfer, QR code, or in cash
• All prices are in US Dollars (USD)

2.2 Contract Duration & Cancellation

• Advertising contracts are month-to-month unless otherwise specified
• Advertisers may cancel at any time with 7 days written notice
• No refunds will be provided for partial months
• We reserve the right to terminate services with 7 days notice if terms are violated

2.3 Content Requirements

Advertisers must provide:

• Print-ready artwork in A4 size (210mm x 297mm)
• High-resolution files (minimum 300 DPI)
• Accepted formats: PDF, JPG, PNG, or AI
• Content submitted at least 5 business days before intended display date

2.4 Artwork Approval

• We reserve the right to reject artwork containing offensive, harmful, or illegal content
• Advertisers are responsible for ensuring they hold rights to all artwork submitted
• Changes requested after printing may incur reprint fees

2.5 Proof of Display

• Advertisers receive photos of their posters installed at various venues
• Photos are typically provided within the week of placement and rotation
• We cannot guarantee specific venue placement, but ensure quality locations

3. Venue Partner Terms

3.1 Installation & Maintenance

• We provide and install A4 snap frames at no cost to venue partners
• We handle all poster printing, delivery, and weekly rotation
• We maintain frames and replace damaged materials
• Venues must provide reasonable access for installation and poster changes

3.2 Venue Benefits

• One free promotional poster per month for internal use (events, specials, etc.)
• Final approval on all posters displayed in your venue
• Professional frame installation enhances bathroom aesthetic

3.3 Venue Obligations

• Frames must remain installed and accessible to customers
• Venue must not remove or alter posters between our scheduled rotations
• Venue must notify us immediately if frames are damaged or missing
• Venue grants permission for customer-facing bathroom advertising

3.4 Termination of Partnership

• Either party may terminate with 30 days written notice
• Upon termination, we will remove frames and materials within 14 days
• Venues may not retain frames or materials after termination, all frames are owned by Toiletvertising

4. Intellectual Property

4.1 Advertiser Rights

Advertisers retain all intellectual property rights to their submitted artwork. By submitting content, advertisers grant Toiletvertising a non-exclusive license to:

• Print and display the artwork in our network venues
• Photograph the installed posters for proof and promotional purposes
• Use installation photos in our marketing materials (with advertiser permission)

4.2 Our Rights

The Toiletvertising name, logo, and branding are owned by Lord Penh. Unauthorized use is prohibited.

5. Liability & Disclaimers

5.1 Service Limitations

• We make reasonable efforts to maintain poster display quality and rotation schedule
• We do not guarantee specific impression counts or customer engagement metrics
• Venue availability may vary; we cannot guarantee specific venue placements
• We are not liable for third-party damage to posters or frames

5.2 Limitation of Liability

Our liability to advertisers or venues is limited to the amount paid for services in the preceding month. We are not liable for:

• Lost profits or business opportunities
• Indirect, consequential, or punitive damages
• Service interruptions due to circumstances beyond our control
• Third-party actions at venue locations

5.3 Advertiser Indemnification

Advertisers agree to indemnify and hold harmless Toiletvertising and Lord Penh from any claims, damages, or expenses arising from:

• Content of submitted advertisements
• Intellectual property violations
• False or misleading advertising claims
• Violation of applicable laws or regulations

6. Data & Privacy

6.1 Information Collection

We collect basic business information from advertisers and venues for service delivery purposes. This includes:

• Business name and contact details
• Payment information
• Communication records

6.2 Data Usage

• We use information solely for service delivery and communication
• We do not sell or share personal information with third parties
• We may use anonymized data for business analytics

7. Dispute Resolution

7.1 Governing Law

These terms are governed by the laws of the Kingdom of Cambodia.

7.2 Dispute Process

1. Parties agree to first attempt informal resolution through good-faith negotiation
2. If unresolved within 30 days, disputes may be submitted to mediation
3. Legal proceedings, if necessary, shall be conducted in Phnom Penh, Cambodia

8. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of revised terms.

Material changes affecting pricing or service terms will be communicated directly to active advertisers and venue partners.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between Toiletvertising and our clients. Any verbal agreements or promises not documented herein are not binding.
